    Henlow Grange

    We are delighted to announce that we will be returning to Champneys for our seventh spa weekend at Henlow Grange in January 2016.

    Once again we are able to offer either:
    • 2 night stay from Friday, 8 January 2016 at a cost of £275 per person; or
    • 3 night stay from Thursday, 7 January 2016 at a cost of £375 per person.

    The price per person includes accommodation in a twin room, full board, a 25 minute massage, a 25 minute facial, a thalassotherapy session and use of all facilities.

    An AWCS event with Addleshaw Goddard LLP.

    With the finishing touches being put to 31 December annual reports, Will Chalk and Richard Preston will rehearse the significant areas of change and developing market practice on the key issues affecting the drafting of the narrative section of the annual report as well as highlighting the issues to consider in the year ahead. They will also consider the changes to listed companies' AGMs and what's on the horizon for Secretariats, including the EU Market Abuse Regulation.

    Will and Richard are the authors of the annual market-leading Company Secretary's Checklist publication - The annual report of a listed company, a must-have for all company secretaries.

    An event with Deloitte

    Following the imminent implementation of the Senior Managers Regime ("SMR") for banking and the Senior Insurance Mangers Regime ("SIMR") on 7 March 2016, Gurdeep Rai from Deloitte's Financial Services Governance Group, will provide an overview on SMR and SIMR, followed by a discussion (with audience participation) on approaches taken by other firms to comply with, inter alia, the responsibilities/governance map, responsibility statements (including how Senior Manger Functions will be able to demonstrate their compliance with their responsibilities) and legal entity governance.

    The event is of particular relevance to anyone in the financial services sector, given the remit of SMR/SIMR (shortly to be broadened to the wider financial services sector).

    In response to feedback from our members, we are delighted to announce that Anthony Hilton will be joining us to talk about and answer questions on the effectiveness of Corporate Governance.

    The OECD states that corporate governance involves a set of relationships between a company’s management, its board, its shareholders and other stakeholders. It provides the structure through which the objectives of the company are set, and the means of attaining those objectives and monitoring performance are determined. Good corporate governance should provide proper incentives for the board and management to pursue objectives that are in the interests of the company and its shareholders and should facilitate effective monitoring.

    Anthony is currently the Financial editor of the London Evening Standard and is a regular contributor to ICSA's Governance & Compliance, in addition to acting as a pension trustee.

    Do you know your facts from your fibs? Think you know a lot about the history of London?

    The AWCS is pleased to announce that we will be teaming up with London Liars' Tours for our annual summer walk.

    The walk will start in the City at 6.00pm sharp and will tour the river looping both London and Southwark bridges. The tour will feature strange tales and a few porky pies involving London mayors, bridges, rivers and folklore.

    Liars' tours are interactive walks involving prizes, forfeits and the opportunity to reclaim fibbing on the streets of London from politicians. At each stop, alongside some entertaining London stories, members of the tour read out two prepared scripts. One of these is true, the other not so much. The group then splits and chooses which story it thinks is the truth, those who choose the true story receive a token whilst those who get it wrong have to perform a light hearted forefeit. The person with the most tokens at the end of the walk wins a prize.

    An evening update on the new data protection law which comes into effect from 6 May 2018. The GDPR will provide a one-stop shop, standardising data protection across all EU Member States. The Information Commissioner has already advised that she is seeking assurances from the government that the same standards will apply in the UK following Brexit. The GDPR builds on existing data protection standards but introduces some new concepts around accountability and some new subject rights. Mandy Webster, a data protection specialist, will brief us on the highlights and some of the pitfalls.

    Businesses have just two years to prepare for the upcoming changes. Who should attend: Company Secretaries, Compliance Officers, Risk Managers, IT Directors, Information Security Officers, Records Managers, Public and Private Sector Lawyers, Finance Directors, Human Resources Officers, Employment Lawyers and Freedom of Information Officers.

    An evening seminar focusing on the Market Abuse Regulation ("MAR") which came into force on 3 July 2016, and some of the practical challenges which have been encountered over the first three months since implementation.  The session will commence with a high level overview of the MAR, which will then be followed by a panel discussion.
    The panel will comprise of Robert Adam, a Partner at Baker & McKenzie LLP, who will share his experience of what Baker & McKenzie LLP have been hearing from their clients, Carolyn Sharpe, an Assistant Company Secretary at Rolls-Royce plc and Noëlle Colfer, Senior Counsel at British American Tobacco p.l.c., who will share their experience and the challenges which they have encountered.

    In association with Seamus Gillen of Value Alpha Ltd, the AWCS would be delighted if you would join us for an evening seminar focusing on Leadership Development for Company Secretaries.

    At our session on 24 November 2016, Seamus will talk about how to address the areas of soft skill development which are necessary for Company Secretaries to increase their effectiveness in the areas employers consider business-critical. He will be joined by Alison Price, who will take attendees through part of the 16PF Psychometric Test, one of the techniques Alison uses with candidates. The practical coaching session will help colleagues understand how soft skills can be identified and nurtured as part of a professional development programme.
